I am pleased to announce that AvantGo's shareholders approved Sybase's acquisition of AvantGo on February 25, 2003, and that AvantGo's business has subsequently joined Sybase's iAnywhere Solutions subsidiary.

This merger solidifies iAnywhere Solutions' leadership in empowering businesses with "always available" access to enterprise information. There are more than seven million seats of iAnywhere Solutions industry-leading mobile, embedded and workgroup databases and mobile middleware solutions at work at over 10,000 customer sites worldwide. We are confident that the union with AvantGo is a strategic fit that will benefit our customers and partners, as the companies share a common vision for enterprise mobility. Together, iAnywhere Solutions and AvantGo offer m-Business solutions unrivaled in the industry, uniquely addressing enterprise mobility of Web content, corporate data and applications.

AvantGo Products
It is iAnywhere Solutions' intent to grow the AvantGo-based businesses in all of the major sectors that AvantGo participates in today. iAnywhere Solutions plans to further develop, enhance and support the entire AvantGo product portfolio, including its M-Business Server and Pylon mobile enterprise software products, as well as its suite of mobile enterprise applications. We are very excited about the potential of the My AvantGo service and regard it as an important part of the business. My AvantGo currently has more than eight million registered users who use the popular mobile Internet service to access more than 2,500 channels of content, brand and product information, such as airline flight schedules, automotive brands, news, maps, healthcare information, movie listings, weather and more. Building on its strong momentum and brand awareness, we plan to grow and enhance this popular service.

Database Market Opportunity
iAnywhere Solutions has more than a decade of leadership in enabling mobile, embedded and workgroup database development, with more than 7 million deployed seats and more than 800 embedded database partners. Our strategy for continued database revenue and marketshare growth includes expanding the number and types of enterprise developers and partners who use SQL Anywhere Studio, our industry leading data management and enterprise synchronization solution. AvantGo will help us to empower a new audience of enterprise Web developers to develop data-rich mobile Web applications powered by SQL Anywhere Studio.
